NO PURCHASE OR PAYMENT IS NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility

DC Everyday Heroes (the “Sweepstakes”) is open only to legal residents of the 50 United States (and DC) (excluding residents of Rhode Island), who are at least eighteen (18) years old at the time of entry. Void where prohibited. Proof of residency and age may be required. Employees and directors of Circle K Stores Inc., TCC Retail Marketing, Inc., and their subsidiaries, divisions, affiliates, and advertising or promotional agencies or individuals involved with the design, production, execution or distribution of the Sweepstakes and the immediate family and household members of such individuals, are not eligible to enter or win Instant Win Grand Prizes or Random Drawing for a Grand Prize. “Immediate family members” shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not. Note, employees and family members of employees are eligible to win Instant Win Prizes but not Drawing Prizes. In order to enter the Sweepstakes or receive the prize, you must fully comply with the Official Rules and, by entering, you (and your parent/legal guardian on your behalf if you are under the legal age of majority in your jurisdiction of residence) represent and warrant that you agree to be bound by these Official Rules and the decisions of the Sponsor, whose decisions shall be binding and final in all respects relating to this Sweepstakes.

3. Timing

The Sweepstakes begins on September 6, 2023 at 12:01 am Eastern Standard Time (“EST”) and ends on November 4, 2023 at 11:59pm EST (“Sweepstakes Entry Period”). Sponsor is the official timekeeper for this Sweepstakes. The Sweepstakes is governed by these Official Rules and is subject to all applicable federal, state and local laws. If all the Instant Win Prizes are awarded during the Sweepstakes Entry Period, the Sweepstakes will end at that time.

4. How to Enter

Instant Win Game

During the Sweepstakes Entry Period, go to win.circlek.com (“Website”) from your internet-enabled, mobile smart phone. On the Website you will need to enter your mobile number and agree to the Official Rules. Then you will be permitted one (1) game play. Upon completion of the game play, the entrant will receive a notification on the Website showing if the entrant is a winner of an Instant Win Prize. Limit of one game play per person per day during the Sweepstakes Entry Period. An entrant may not use more than one mobile phone number to enter the Sweepstakes. In the event of a dispute as to the identity of an entrant, the game play will be declared made by the primary account holder of the mobile phone number. The “primary account holder” is the natural person listed as the natural person assigned a mobile phone number by a wireless provider or other organization responsible for assigning wireless numbers. You may enter the Instant Win Game one (1) time per day during the Sweepstakes Entry Period.

Online Alternative Method of Entry

and follow the instructions to complete and submit the registration form, including a valid email address, full name, home address, phone number, and age. The receipt of each entry will be based on the delivery date of the completed form and must be received within the Sweepstakes Entry Period to be considered eligible to win. All entries become the exclusive property of the Sponsor, and none will be acknowledged or returned. Upon receipt of an entry, one gameplay will occur to determine if the entrant is an Instant Win Prize. Entrants will also receive one entry into the random drawing for the Weekly Prize and Grand Prize. No reply will be sent to non-winning game plays. The winning game plays will be notified by email, phone, or mail, with a prize or voucher for the prize arriving by mail. Any entries that are incomplete, illegible, corrupted, damaged, destroyed, false, lost, late, misdirected, deceptive, or otherwise not in compliance with the Official Rules may be disqualified at the Sponsor’s sole and absolute discretion.

Drawing Prize Entry

During the Sweepstakes Entry Period, there are two (2) ways to earn entries in the drawing: i) you will earn one (1) sweepstakes entry scanning the HeroBadges and (2) you will earn one (1) sweepstakes entry by entering a UPC code of bonus products (you are not required to purchase the bonus product in order to enter the UPC code). There is no limit on the number of entries that can be earned by scanning HeroBadges but there is a limit of one (1) entry from UPC code per day.

Multiple entrants are not permitted to share mobile phone number. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant’s entries and that entrant may be disqualified. Use of any robotic, automatic, programmed or similar entry method or the use of any means to obtain more than the stated number of Sweepstakes entries plays per day will void all entries/plays and result in disqualification. In the event of a dispute as to any registration, the authorized account holder of the email address used to register will be deemed to be the entrant. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Each potential winner may be required to show proof of being the authorized account holder.

5. Winner Determination

Instant Win Prizes

The odds of winning an instant win prize will be 1 in 20 or better. Each entrant who receives a “win” message will be deemed a potential instant win prize winner pending confirmation and verification of the entrant’s eligibility and compliance with these Official Rules, as determined by Sponsor and Administrator in their sole and absolute discretion. Each entrant who receives a “win” message of Bonus Entries into Sweepstakes will automatically be provided the entries. Each entrant who receives a “win” message of 30 day free trial of DC Universe Infinite Monthly Plan will have the prize in their prize wallet. All prizes have validity and cannot be redeemed after expired. Click REDEEM to view redemption instructions. A 16 digit redemption code is then triggered with a five (5) minute count down. During those five (5) minutes you must record the code to register later.

Drawing Prizes

The Sweepstakes Entry Period is approximately eight weeks long. Each week during the Sweepstakes Entry Period there will be a weekly prize drawing to select two weekly prizes winners for the week. Non-winning entries carry over into future weekly prize drawings. Limit of one (1) weekly prize per person. The weekly prize details are stated below. On or about November 7, 2023 Administrator will randomly select one (1) entry for the grand prize described below in a random drawing of all valid entries received. The potential winners will be contacted using the contact details provided with the entry and may be awarded the prize subject to verification of eligibility and compliance with the terms of these Official Rules. The potential winners will be notified on or about November 9, 2023. Failure by potential winner to respond to the initial verification within 72 hours of notification will result in disqualification and Administrator will select an alternate potential winner in the same manner. Odds of winning depend on the number of eligible entries received up to the time of the applicable drawing.

All potential winning game plays are subject to verification by Sponsor or Administrator, whose decisions are final and binding. An entrant is not a winner of any prize, even if the game play should so indicate, unless and until entrant’s eligibility and the potential winning game play have been verified and entrant has been notified that verification is complete. Sponsor will not accept screen shots, text message or other evidence of winning in lieu of its validation process. Any game play that occurs after the system has failed for any reason is deemed a defective play, is void, and will not be honored. The number of instant win prizes available to be won will decrease during the Game Period as prizes are awarded and claimed.

Sponsor and Administrator’s decisions as to the administration and operation of the Sweepstakes and the determination of potential winners (drawing prizes and instant win prizes) is final and binding in all matters related to the Sweepstakes. If in the event of a printing, production, seeding, technical, human or other error of any kind, or for any other reason, the number of winning messages distributed or received exceeds the number of prizes listed in these Official Rules for that level, Sponsor reserves the right to conduct a random drawing from among all non-suspect, eligible prize claims received to award the listed prizes.

6. POTENTIAL WINNERS ARE SUBJECT TO VERIFICATION BY SPONSOR AND/OR ADMINISTRATOR. SPONSOR AND ADMINISTRATOR’S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE ADMINISTRATION, OPERATION, SELECTION OF THE WINNERS AND OTHER MATTERS RELATED TO THE SWEEPSTAKES.

7. Verification of Potential Winners

Potential winners may be required to complete and return an Affidavit of Eligibility, Release of Liability and Publicity Release (where permitted by law) (collectively, the “Affidavit”) by the date specified by Sponsor or potential winner will be disqualified from the Sweepstakes. In the event: (a) potential winner cannot be reached for whatever reason after a reasonable effort has been exerted or the potential winner notification or Affidavit is returned as undeliverable; (b) potential winner declines or cannot accept, receive or use the prize for any reason; (c) of noncompliance with the above or within any of the aforesaid time periods, (d) potential winner is found to be ineligible to enter the Sweepstakes or receive the prize, (e) potential winner cannot or does not comply with the Official Rules, or (f) potential winner fails to fulfill the Affidavit-related obligations, the potential winner shall be disqualified from the Sweepstakes. Sponsor reserves the right to modify the notification and Affidavit procedures.

8. Prizes

*** The Grand Prize Winner will receive a trip for two (2) to Los Angeles, CA consisting of the following (the “Grand Prize”): (i) round-trip coach class airfare for Grand Prize Winner and one (1) guest to Los Angeles, CA from the major U.S. airport nearest to Grand Prize Winner’s residence within United States; (ii) three (3) days/two (2) nights at hotel (1 room, double occupancy); (iii) and two (2) Studio Tour passes to Warner Brothers Studio Tour Hollywood. The specifics of all aforementioned elements of the Grand Prize in the Sweepstakes shall be solely determined by Sponsor. Dates subject to availability and blackout. Sponsor or Administrator will determine airline, flight itinerary and hotel and accommodations in its sole discretion. If in the judgment of Sponsor air travel is not required due to Grand Prize Winner’s proximity to destination, ground transportation will be substituted for roundtrip air travel at Sponsor’s sole and absolute discretion. The difference in value will not be awarded to the Grand Prize Winner. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. Grand Prize Winner will not receive difference between actual and ARV. Prize is non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute the Grand Prize (or a component thereof) for one of equal or greater value if the designated prize should become unavailable for any reason. All travel must be completed between December 1, 2023 and December 31, 2024, and must be arranged with Sponsor or Administrator a minimum of sixty (60) days in advance, and is subject to availability and Sponsor’s approval. If Grand Prize Winner is unable to fulfill Grand Prize during time period, Grand Prize Winner forfeits the Grand Prize in its entirety and an alternate winner may be selected. All travel dates will be determined by the Sponsor, and once made may not be altered except by Sponsor. Some restrictions may apply. Meals not described above, incidentals, tips, telephone calls, or any other personal expenses incurred during the trip are the responsibility of the Grand Prize Winner. All other expenses not specifically identified as included in the Grand Prize are the sole responsibility of the Grand Prize Winner. Grand Prize Winner and travel companion are responsible for obtaining travel insurance (and all other forms of insurance) at their option and hereby acknowledge that the Sponsor has not and will not obtain or provide travel insurance or any other form of insurance. Grand Prize Winner and travel companion must travel the same itinerary and on the dates and/or times specified by Sponsor or prize will be forfeited in its entirety. Once the travel companion is selected, he/she may not be substituted, except at the Sponsor’s sole discretion. Grand Prize Winner and travel companion are solely responsible for obtaining any identification documents necessary for domestic travel. Travel companion of winner must be at least eighteen (18) years of age or older or the minor child of the winner and must sign a Liability and Publicity Release. If potential winner’s travel companion fails to return such documents within date and/or time indicated within such documents, then the potential winner may forfeit the right to the travel companion.

For all Prizes: No cash equivalent for any prize and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a listed prize for one of equal or greater value for any reason. Winner is responsible for all taxes and fees associated with prize receipt and/or use. All federal, state, and local tax liabilities, as well as any other costs and expenses not specified herein as being awarded are the sole responsibility of the Winner. Winner may be required to complete and return an IRS W-9 form (i.e. Request for Taxpayer Identification Number and Certification). Prize will be awarded only if the potential prize winner fully complies with these Official Rules. Total approximate retail value of all prizes available to be won is $1,602,997.36 not to exceed $324,597.36 in Florida.

9. Entry Conditions and Release

Each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of Sponsor and Administrator which are binding and final in all matters relating to this Sweepstakes; (b) defend, indemnify, release and hold harmless the Sponsor, Administrator, Warner Bros., DC Comics, and their respective parent, subsidiary, and affiliated companies, celebrities, and any other person and organization responsible for sponsoring, fulfilling, administering, advertising or promoting the Sweepstakes, and all of their respective past and present parents, affiliates, officers, directors, employees, agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s entry, creation of an entry or submission of an entry, participation in the Sweepstakes, acceptance, possession, attendance at, defect in, delivery of, inability to use, use or misuse of prize (including any travel or activity related thereto) and/or the broadcast, exploitation or use of entry. Winners acknowledge that the prize is awarded as-is without warranty of any kind.

10. Publicity

Except where prohibited or restricted by law, winner’s acceptance of prize constitutes the winner’s agreement and consent for Sponsor and any of its designees to use and/or publish winner’s full name, city and state/province/territory/country of residence, photographs or other likenesses, pictures, portraits, video, voice, testimonials, biographical information (in whole or in part), and/or statements made by winner regarding the Sweepstakes or Sponsor, worldwide and in perpetuity for advertising, publicity, trade and/or promotion on behalf of Sponsor, in any and all forms of media, now known or hereafter devised, including, but not limited to, print, TV, radio, electronic, cable, or World Wide Web, without further limitation, restriction, compensation, notice, review, or approval.

11. General Conditions

Sponsor and its subsidiaries, affiliates, divisions, partners, representatives, agents, successors, assigns, employees, officers and directors shall not have any obligation or responsibility, including any responsibility to award any prize to entrants, with regard to: (a) entries that contain inaccurate information or do not comply with or violate the Official Rules; (b) entries, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind; (c) entrants who have committed fraud or deception in entering or participating in the Sweepstakes or claiming the prize; (d) telephone, electronic, hardware, software, network, Internet or computer malfunctions, failures or difficulties; (e) any inability of the winner to accept the prize for any reason; (f) if a prize cannot be awarded due to delays or interruptions due to Acts of God, natural disasters, terrorism, weather or any other similar event beyond Sponsor’s reasonable control; or (g) any damages, injuries or losses of any kind caused by any prize or resulting from awarding, acceptance, possession, use, misuse, loss or misdirection of any prize or resulting from participating in this Sweepstakes or any promotion or prize related activities. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be (a) tampering with the entry process or the operation of the Sweepstakes, or with any Website promoting the Sweepstakes; (b) acting in violation of the Official Rules; or (c) entering or attempting to enter the Sweepstakes multiple times through the use of multiple email addresses. If Sponsor determines, in its sole discretion, that technical difficulties or unforeseen events compromise the integrity or viability of the Sweepstakes, Sponsor reserves the right to void the entries at issue, and/or terminate the relevant portion of the Sweepstakes, including the entire Sweepstakes, and/or modify the Sweepstakes and/or award the prize from all eligible entries received as of the termination date.

12. Limitations of Liability

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (b) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the Sweepstakes; (d) technical or human error in the administration of the Sweepstakes or the processing of entries; (e) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any prize; or (f) for lost, late, illegible, misdirected, inaccurate, incomplete, undelivered, damaged, delayed, entries. If for any reason an entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes. No more than the stated number of each prize will be awarded.

13. Disputes

Entrant agrees that: (a) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved individually, without resort to any form of class action; (b) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prizes awarded, shall be resolved exclusively by the United States District Court or the appropriate North Carolina State Court located in Mecklenburg, North Carolina; (c) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (d) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of North Carolina, without giving effect to any choice of law or conflict of law rules (whether of the State of North Carolina or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of North Carolina.
